These Terms and Conditions (“Terms”) govern your use of the services provided by Mintech Solutions ABN 52 685 891 562 (“Mintech”, “we”, “us”, “our”), located on the Gold Coast, Queensland, Australia. By engaging our services you agree to be bound by these Terms.
1. Services
Mintech Solutions provides AI automation services including but not limited to: AI receptionist systems, AI customer support, email triage and drafting, business process automation, API and system integration, and related consulting and strategy services (“Services”).
2. Engagement & Scope
Each project begins with a discovery call and written scope of work (“SOW”) or proposal. The SOW defines deliverables, timelines, and pricing. Work outside the agreed scope may incur additional charges and will be discussed with you before proceeding.
3. Payment Terms
- A deposit of 50% of the total project fee is required before work commences.
- The remaining 50% is due upon completion, prior to final handover or go-live.
- Monthly retainer fees (where applicable) are billed in advance on the first business day of each month.
- All prices are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.
- Invoices are payable within 14 days of issue.
4. Project Timelines
Estimated timelines are provided in good faith based on the agreed scope. Timelines may be affected by factors outside our control, including delays in client feedback, content or access provision. We will communicate any significant changes to the timeline promptly.
5. Client Responsibilities
You agree to provide timely access to systems, data, and personnel required to deliver the Services. Delays caused by late provision of materials or feedback may extend project timelines and are not the responsibility of Mintech Solutions.
6. Changes & Revisions
Reasonable revisions within the agreed scope are included. Requests beyond the original scope will be quoted separately and require written approval before work begins. “Scope creep” changes requested mid-project may affect timelines and cost.
7. Intellectual Property
- Upon full payment, you receive a non-exclusive, perpetual licence to use the deliverables for your business purposes.
- Mintech retains ownership of underlying frameworks, templates, code libraries, and methodologies developed independently of your project.
- We reserve the right to showcase completed work in our portfolio unless you request otherwise in writing.
- Third-party tools, APIs, and platforms used in your project remain subject to their own licence terms.
8. Data & Privacy
We handle your data in accordance with our Privacy Policy and applicable Australian privacy legislation. You retain ownership of all data you provide to us. We will not sell, share, or use your data for purposes outside the agreed Services.
9. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the engagement. This obligation survives termination of the agreement for a period of two (2) years.
10. Termination
Either party may terminate the engagement with 14 days’ written notice. In the event of termination:
- You are responsible for payment of all work completed up to the termination date.
- Deposits are non-refundable unless Mintech is unable to deliver the agreed Services.
- We will provide all completed deliverables and assist with a reasonable handover.
11. Limitation of Liability
To the maximum extent permitted by law, Mintech Solutions’ total liability for any claim arising from the Services is limited to the fees paid for the specific Services giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages, including lost profits or data loss.
12. Warranties & Disclaimers
We warrant that Services will be performed with reasonable care and skill. However, AI systems involve probabilistic outputs and we do not guarantee specific results, uptime percentages, or error-free operation unless expressly stated in the SOW. Third-party platforms (e.g., phone providers, cloud infrastructure) are subject to their own SLAs.
13. Indemnification
You agree to indemnify Mintech Solutions against any claims, losses, or damages arising from your use of the deliverables, your data, or your breach of these Terms.
14. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any disputes will be resolved in the courts of Queensland.
15. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on this page. Continued use of our Services after changes constitutes acceptance.
